Safenest · Field Partner Agreement

Safenest Technologies Private Limited

Version FF-PA-2026-09

  1. 1. Nature of relationship

    • Safenest Technologies Private Limited (“Company”) appoints the Partner as a non-exclusive field partner to visit parties, book orders and collect on allotted beats.
    • The Partner is an independent contractor — not an employee, agent, apprentice, franchisee or workman of the Company. This paper does not create employment, a joint venture or a partnership under the Indian Partnership Act, 1932.
    • The Partner shall not represent themselves as the Company, sign for the Company, or commit the Company beyond this Agreement.
    • The Partner may refuse a call. The Company does not guarantee a minimum number of parties, orders or earnings.
  2. 2. Territory and tools

    • HQ allots one or more beats. Allotment can change with notice. Cover is not exclusive — other partners may work the same area.
    • Punch, GPS, shop photos and the Fieldforce app are tools to record work. Using them does not, by itself, make the Partner an employee.
    • Rates, beats and specials are published in the app. The live card on Commission is the rate that applies to new billed work.
  3. 3. Commission

    • Commission accrues the minute a billed order, productive call or collection is saved, on the live rate card (and any live special) at that minute.
    • HQ may change the live card. A change applies only to work billed after the change. The Company will give at least 14 days’ notice in the app before a cut in rates, as required for fair contracts in Karnataka.
    • Past hits are not rewritten when the card changes.
  4. 4. Hold and payout

    • Earned commission sits in hold for 7 days, then it is ready. HQ usually pays on Monday, by UPI, NEFT or cash, to the UPI ID / bank the Partner keeps on Commission.
    • HQ may pay earlier by waiving hold. There is no automatic bank push — a payout is a recorded voucher.
    • Net paid = gross commission minus TDS. The commission slip is a disbursement record, not a salary slip.
  5. 5. TDS and KYC

    • TDS is deducted at payout under the Income-tax Act. With a valid PAN on file the Company currently deducts 5%. Without PAN, 20% applies (section 206AA). Statutory rates may change; the slip shows the rate used on that voucher.
    • The Partner shall keep PAN, UPI ID and bank details true. Wrong UPI is the Partner’s risk.
    • The Partner is responsible for their own income-tax return, GST registration if their turnover crosses the threshold, and any professional tax.
  6. 6. Returns and clawback

    • If goods come back from a party within 7 days of the billed order, the order commission on that value is clawed back in proportion, including cuts already paid (taken off the next voucher).
    • Visit and collection commission is not clawed for a goods return.
  7. 7. Partner obligations

    • Do not overcharge a party. Do not collect into a personal account except the UPI / bank on file for Company payouts.
    • Comply with Indian law, including the Digital Personal Data Protection Act, 2023. Shop and customer data stays in the app.
    • Shop photos, GPS and bills must be genuine. Fake visits or bills are material breach.
  8. 8. No employment claims

    • The Partner shall not claim salary, PF, ESI, gratuity, bonus, leave encashment or appointment as a workman arising from this Agreement.
    • If a competent authority later holds the relationship to be employment, both parties will cooperate to regularise papers. Until then this Agreement governs commission work.
  9. 9. Term and termination

    • This Agreement is for one year from signing and renews automatically unless ended in writing.
    • Either party may end it with 30 days’ written notice (email or in-app mail is enough).
    • The Company may end it immediately for fraud, fake visits, overcharging, or regulatory breach. Pending ready commission is paid within 30 days, less clawbacks and TDS.
  10. 10. Governing law

Governed by the laws of India. Courts at Bengaluru, Karnataka have exclusive jurisdiction. Safenest Technologies Private Limited, No.123, 1st Floor, Sri Skanda, 1st AA Cross, 2nd H Main Road, Kasturinagar, Bengaluru 560043. CIN U72900KA2019PTC120702.
